Christina Maguire compares governance to a three-legged stool. One leg is the skills and expertise of the board to drive the corporate strategy forward, the second is the economic alignment of management and shareholders, and the third leg is the governance transparency that allows shareholders to effect change if leadership is not living up to its responsibilities.

For Maguire, executive compensation is a key lever within governance: ‘When the company does well, we as shareholders do well and our clients see their 401k numbers rise; that’s our main goal. But when issuers perform poorly, we want management teams to share the economic pain that we as shareholders on behalf of our clients feel.’
